Terms of Service

This Terms of Use Agreement governs your access to and use of the RuraLink Inc. Platform ("Platform"), operated by RuraLink Inc. ("Company"). By accessing or using the Platform, you agree to be bound by these terms.

Company reserves the right to modify this Agreement at any time. Continued use of the Platform constitutes acceptance of any changes. The most current version is always available at ruralink.net.

If you register on behalf of a company, you affirm you have authority to enter binding contracts on that company's behalf.

The Platform supports two account types:

• Healthcare Organization Network — A healthcare facility, telehealth organization, or similar entity using the Platform to source professional services.
• Independent Affiliate — A vetted professional service provider approved to offer services through the Platform.

RuraLink Inc. connects Healthcare Organization Networks and Independent Affiliates for the purpose of procuring and administering professional services ("Contracted Services"). Company hosts and maintains the Platform, provides educational content to Independent Affiliates, and facilitates the formation of service relationships between users.

You may use the Platform only for purposes expressly permitted by this Agreement. You must not:

• Copy, modify, or create derivative works of the Platform or its documentation
• Reverse engineer, decompile, or attempt to access any software component
• Use the Platform in any way that infringes intellectual property rights or applicable law
• Post unlawful, offensive, abusive, or misleading content through Communication Services
• Harvest personal information from other users without consent
• Distribute malicious code, viruses, or tools designed to compromise security

Violation of these rules may result in immediate suspension or termination of your access without refund.

Passwords are for individual use only. You are responsible for maintaining password security at all times. Company may require password changes periodically.

Upon registration and periodically thereafter, your information may be verified against third-party databases or through official government documents to confirm your identity, location, and credentials.

By using the Platform, you will have access to confidential information belonging to Company and other users, including trade secrets, proprietary data, and clinical and financial information.

You agree not to disclose Confidential Information to any third party except as strictly necessary to perform your obligations under this Agreement. Confidentiality obligations survive termination of this Agreement for five years, or indefinitely for trade secrets.

Independent Affiliates must comply with all applicable federal, state, and local laws regarding confidentiality, including HIPAA.

When a Healthcare Organization Network and Independent Affiliate agree to work together through the Platform ("Active Placement"), the Platform generates a sample Confirmation Agreement. Both parties may enter any agreements they deem appropriate, provided those agreements do not conflict with Company's rights under this Agreement.

No Active Placement creates an employment, agency, partnership, or joint venture relationship between users.

During an Active Placement, all timekeeping and payments must occur through the Platform. Independent Affiliates must submit timecards no later than 11:59 p.m. (local time) each Sunday.

Company serves as a clearinghouse for billing and will distribute payment to Independent Affiliates within a commercially reasonable timeframe after receiving reconciled remittance from the Healthcare Organization Network. Payment processing is handled by Stripe, Inc.

Company is not liable for delays caused by late timecard submissions or third-party payment processing issues.

Independent Affiliates are solely responsible for all tax obligations arising from remittances received through the Platform, including income taxes and self-employment taxes. Company does not withhold taxes on your behalf.

Independent Affiliates must maintain adequate insurance coverage throughout any Active Placement, including professional malpractice liability insurance at industry-standard coverage limits. Proof of insurance must be provided prior to commencing Contracted Services.

Independent Affiliates pay a subscription fee for Platform access:

• Monthly: $150/month
• Annual: $1,400/year

The first payment is due upon agreement execution. Subsequent payments auto-bill on the same calendar day each period. All payments are non-refundable.

Company may change subscription fees with 30 days' written notice. Continued use after a fee change constitutes acceptance of the new rate.

To cancel, visit ruralink.net or contact hello@ruralink.net. Access continues until the end of the current billing period. Reactivation after cancellation may incur a fee of up to $1,400 at Company's discretion.

Any introductions or connections made through the Platform are proprietary to Company. During the term of this Agreement and for one year thereafter, you may not engage in commercial relationships with other users outside the Platform's transactional framework for connections originally made through the Platform.

The Platform is provided "as is" without warranties of any kind, express or implied. Company does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Company's total liability for any claim arising under this Agreement is limited to the greater of $100 or the amount you have paid to Company for the service giving rise to the claim.

Company is not liable for indirect, incidental, punitive, or consequential damages, including loss of revenue, data, or goodwill.

All claims must be brought within one year of the event giving rise to the claim.

You agree to indemnify and hold Company, its affiliates, officers, directors, and agents harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from:

• Your breach of these Terms of Use
• Content you submit or transmit through the Platform
• Your failure to comply with applicable laws
• Any contract entered into with another user, including worker classification disputes
• Your negligence, willful misconduct, or fraud

This Agreement is governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in State or Federal courts in Delaware.

Either party may terminate this Agreement at any time with written notice. Upon termination, your access to the Platform ceases immediately. Termination does not affect any Active Placement contracts already in effect.

Provisions that by their nature should survive termination — including confidentiality, non-circumvention, indemnity, and dispute resolution — remain in full force after termination.
